The illegal attempt by Invesco to take over Zee Entertainment has been completely exposed. ZEEL MD and CEO Puneet Goenka has informed the board of Invesco’s double standards. Puneet Goenka made a presentation at the Board of Directors meeting on October 12, 2021 in which he told the board about his conversation with an Invesco representative in February 2021. Puneet Goenka has also written to BSE and NSE in this regard.

Puneet Goenka exposes Invesco’s double standards. In his letter, he clarified that representatives of Invesco had approached him about a combination with a strategic group. Arun Baloni of Invesco and Bhatosh Bajpai of OFI Global China Fund were also involved in this discussion. In front of Puneet Goenka, the two promised a merger with a larger strategic conglomerate in India. The assessment of the ‘strategic group’ proved to be exaggerated.
According to Puneet Goenka, the deal has cost ZEEL investors thousands of crores of rupees. Promoters will get only 3.99 per cent of the merged entity. Puneet Goenka will get 4 per cent ESOP in the merged entity. Puneet Goenka was also proposed as the MD and CEO of the new business. According to Goenka, if the acquisition is completed, the strategic group will have majority ownership in the new firm formed as a result of the merger. Invesco also requested that Puneet Goenka be named as MD and CEO.

According to the board note, Invesco while submitting the proposal emphasized on the operations and business of the new integrated entity under the leadership of Puneet Goenka. Invesco had acknowledged that Goenka’s expertise and professional competence would make it important for him to continue as MD and CEO.

Puneet Goenka, according to the letter provided by ZEEL, had also flagged several governance difficulties in the procurement (particularly with respect to the Strategic Group’s valuation). Invesco further said that the transaction can be completed with or without them. Invesco had repeatedly warned Goenka that he and his family would suffer if he did not make the deal.
